How subscriptions to MessageBhejo, the WhatsApp Business software platform provided by Simpleops Private Limited, are billed, cancelled and refunded.
This summary is for convenience only. The full Policy below governs and forms part of our Terms of Service.
1.1 This Policy applies to the subscription and other fees that you pay to Simpleops Private Limited for MessageBhejo (the "Service"). It forms part of, and uses the definitions in, our Terms of Service. Where this Policy and the Terms differ, the Terms prevail.
1.2 MessageBhejo is a digital service delivered online. Nothing is shipped, so no shipping, return or exchange terms apply.
1.3 The Service is sold to businesses for commercial use. We publish this Policy to meet the Consumer Protection (E-Commerce) Rules, 2020 and payment-provider requirements, without accepting that any customer is a consumer under the Consumer Protection Act, 2019.
2.1 You connect your own WhatsApp Business Account to the Service and Meta bills you directly for every conversation or message under Meta's own rate card, through the payment method on your account with Meta. We never collect, mark up or invoice those charges, and our fees never include them.
2.2 Because we never receive that money, we cannot refund, waive, credit or dispute it. Questions about Meta's charges, free allowances, rate changes (for example service messages becoming chargeable beyond a monthly free allowance from 1 October 2026), invoices or taxes must be raised with Meta through your WhatsApp Manager or Meta Business Suite.
2.3 A suspension, restriction, quality-rating change, template rejection or ban imposed by Meta on your WhatsApp Business Account does not entitle you to a refund of our fees. Our software remains available to you; what Meta allows you to send is outside our control.
3.1 Where we offer a free trial, it lasts 7 days from the day your Account is created, requires no payment details and is limited to one trial per business, however many Accounts or Users that business creates.
3.2 Nothing is charged during or at the end of the trial. When the trial ends, the Account is locked in read-only mode until you pay for a Plan. Your data stays available for export during the period in Section 13.
3.3 You may stop using a trial at any time; there is nothing to cancel and nothing to refund. We may change, shorten or withdraw trial offers at any time and may refuse a trial to anyone who has had one before or appears to be creating Accounts to obtain repeated trials.
4.1 Prepaid periods. Plans are sold for a monthly or yearly billing period and are paid in advance. The period starts on the day we receive payment and activate the Plan, and renews for the same length each time you pay the renewal invoice.
4.2 How you pay. We issue an invoice or payment link, which you can pay by UPI, bank transfer, card or any other method we offer. Payment details are handled by your bank or the payment provider under their own terms; we never store full card numbers. A payment counts as received only when cleared funds reach us.
4.3 Renewal. The renewal invoice or payment link is issued before your current period ends and is payable by the period end date. We do not debit anything automatically unless and until you expressly set up a payment mandate under Section 4.5.
4.4 GST and invoices. Prices are quoted exclusive of taxes. Where Goods and Services Tax applies to us, it is added at the prevailing rate and shown on a tax invoice. If you want your GSTIN on the invoice, give it to us before the invoice is issued; we may be unable to amend an invoice after the tax period has closed.
4.5 Automatic payments, if offered later. If we introduce automatic renewal through a card, UPI Autopay or similar mandate, we will show the amount, frequency and validity before you register it, your bank or card issuer will notify you at least 24 hours before each debit as the Reserve Bank of India's e-mandate framework requires, and you will be able to cancel the mandate at any time through your bank or payment app. Cancelling the mandate stops future renewals; it does not refund the period already paid.
5.1 Anytime, for any reason. The owner of an Account may cancel the subscription at any time from the Account's billing or settings page, or by emailing support@simpleops.co.in from the owner's registered address. We will confirm the cancellation by email.
5.2 When it takes effect. Cancellation takes effect at the end of the billing period you have already paid for. Until then you keep full access to your Plan. Simply not paying the renewal invoice has the same effect: the subscription ends when the paid period ends.
5.3 No pro-rata refund. Cancelling part-way through a monthly or yearly period does not entitle you to a refund or credit for the unused days or months, except in the cases listed in Section 6. A yearly Plan is a single prepaid period, not twelve monthly ones.
5.4 No cancellation fee. We never charge a fee for cancelling.
5.5 Deleting your Account ends access immediately and is treated as a cancellation under this Section; no refund of the current period is due.
5.6 Reactivation. You may subscribe again at any time while your data is still available under Section 13. After that, you start with a new, empty Account.
6.1 The rule. Subscription fees are non-refundable once the billing period they pay for has started. This applies to monthly and yearly Plans, to first purchases and renewals, to upgrades, and whether or not you have used the Service during the period. We do not offer trial-to-paid or money-back guarantees beyond the free trial in Section 3.
6.2 The exceptions. We will refund:
6.3 Not refundable. Fees for a period in which your Account was suspended or terminated for breach of the Terms; fees for features you chose not to use; charges by Meta or any third party; setup, onboarding and add-on fees once work has started (Section 8); bank or payment-provider charges; and amounts covered by a service credit.
6.4 Service credits are not refunds. Where the Terms give you a service credit for an outage caused solely by us, the credit extends your current period. It is never paid out in cash.
6.5 How to request a refund. Email support@simpleops.co.in from the Account owner's registered address within 30 days of the payment, with the invoice number, the payment reference and the reason. We acknowledge within 24 hours and decide within 30 days. If we decline, we will tell you why.
6.6 How refunds are paid. Approved refunds are initiated within 7 business days of approval, to the bank account, UPI ID or card the payment came from. Banks and payment providers may take a further 5 to 7 business days to show the credit; we are not responsible for their timelines. Where GST was charged, the refund is documented by a credit note under Section 34 of the Central Goods and Services Tax Act, 2017, and you must reverse any input tax credit you claimed on the original invoice.
7.1 Upgrades. You may move to a higher Plan at any time. We invoice the difference between the Plans for the remainder of your current period, pro rata by day, and the upgrade takes effect when that invoice is paid. At renewal, the higher Plan's full price applies.
7.2 Downgrades. You may move to a lower Plan, or from yearly to monthly billing, with effect from your next renewal. No refund or credit is given for the remainder of the current period. Features and limits of the higher Plan stop at the end of that period, and data created with those features may become read-only.
7.3 Monthly to yearly. You may switch to yearly billing at any time; the yearly period starts when you pay, and we credit the unused days of the current monthly period against the yearly invoice.
8.1 Setup, onboarding, WhatsApp Business Account configuration, template drafting, data migration, training, custom development, extra-agent seats and other add-ons that we quote are payable in advance.
8.2 These fees are non-refundable once we have started the work or enabled the add-on. If we have not started within 15 business days of payment and you cancel in writing before we start, we refund the fee in full.
8.3 Setup fees do not guarantee any outcome that depends on Meta, such as business verification, display-name approval or template approval.
9.1 We may change our prices or the features of a Plan. We give at least 30 days' notice by email to the Account owner or in-app before a price change applies to you.
9.2 A price change never affects a period you have already paid for. It applies from your next renewal. If you do not accept it, let your subscription end at the current period's close; nothing more is charged.
10.1 For breach. If we suspend or terminate your Account because you breached the Terms of Service, Meta's policies or the law, including sending spam or messaging people without consent, no refund of any fee is due for the current or any earlier period.
10.2 Because of Meta. If Meta restricts or terminates your WhatsApp Business Account, or withdraws access we need to serve you, we may end your subscription. Fees for the current period are not refunded, because the restriction is Meta's decision about your account, not a failure of our software.
10.3 For convenience, or if we close the Service. If we end your subscription on notice without any breach by you, or discontinue the Service, we refund the unused part of the prepaid period pro rata by day. This refund is your sole and exclusive remedy.
11.1 No grace period. If the renewal payment has not reached us by the end of the paid period, access to the Account is suspended at that moment. Automations, chatbots, campaigns and the API stop; incoming WhatsApp messages are still received and stored so you lose nothing when you resume.
11.2 Resuming. Pay the outstanding invoice and access is restored, usually within a few hours. The new period starts from the date the payment is received, not from the date the old period ended.
11.3 Treated as cancelled. If the invoice remains unpaid for 30 days after the period ended, the subscription is treated as cancelled by you, and the data timeline in Section 13 starts from the day the paid period ended.
11.4 Failed payments. If a payment fails or is reversed by your bank, it is treated as not made. You are responsible for any bank charges on your side; we do not charge a failed-payment fee.
12.1 Contact us before raising a chargeback or payment dispute with your bank or payment app. Most billing questions are resolved within a few days under Section 6.
12.2 If a chargeback or dispute is raised against a payment to us, we may suspend the Account while it is open, provide the bank or payment provider with evidence of your order, acceptance of the Terms and use of the Service, and recover any amount reversed in error together with the fees the dispute cost us. Accounts used to make fraudulent or repeated unfounded chargebacks may be closed without refund.
13.1 Export window. For 30 days after your subscription ends you can sign in to export your contacts, conversations, templates and reports with the tools in the Service, or ask us for an export by email.
13.2 Deletion. After the export window we delete your Account's data within 90 days, except invoices and tax records, which we keep for 8 years as the law requires, and security logs for the period the law requires. Backups are purged on a rolling basis within that period. Deletion is permanent.
13.3 Your WhatsApp Business Account stays yours. Disconnecting it from MessageBhejo does not close it with Meta. Remember that Meta deletes WhatsApp Business Platform data when a WhatsApp Business Account is terminated and provides no backups, so keep your own copies.
13.4 Questions and complaints about billing, cancellation or refunds go to our Grievance Officer, who acknowledges within 24 hours and resolves within 30 days. See also our Privacy Policy for how we handle your data.
