Terms & Conditions

Terms of Service

Effective date: 13 October 2026

These Terms govern your access to and use of MessageBhejo, the WhatsApp Business software platform operated by Simpleops Private Limited. Please read them carefully: they include an arbitration clause and limits on our liability.

In short

  • MessageBhejo is software. You connect your own WhatsApp Business Account and pay Meta directly for messages. We charge only for the software and never add a markup.
  • You may message only people who have opted in, and you must follow Meta's WhatsApp policies and Indian law. You are responsible for your content and your customers' consent.
  • Subscriptions are prepaid. You can cancel anytime and keep access until the paid period ends. Fees are not refunded for a period that has started, except as the Refund & Cancellation Policy says.
  • Meta alone decides approvals, limits, quality ratings and bans. We cannot reverse Meta's decisions and are not liable for them.
  • Disputes go to arbitration in Indore, India, after a 30-day negotiation period.

This summary is for convenience only. The full Terms below govern.

1. Who we are and your agreement to these Terms

1.1 These Terms of Service (the "Terms") are a legally binding agreement between you and Simpleops Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at First Floor, 2570, Near Raja Harish Chandra Marg, Sector E, Sudama Nagar, Indore, Madhya Pradesh 452012, India ("Simpleops", "we", "us" or "our"). We operate the WhatsApp Business software platform marketed as MessageBhejo, available at messagebhejo.com, its sub-domains, applications and APIs (together, the "Service").

1.2 By creating an Account, clicking to accept, paying an invoice, signing an order form or using the Service in any way, you accept these Terms together with our Privacy Policy and our Refund & Cancellation Policy, both of which are incorporated by reference. If you do not agree, you must not use the Service.

1.3 If you use the Service for a company, firm, trust, society or other entity, you represent that you are authorised to bind that entity. "You" and "Customer" then mean that entity, and you are responsible together with it.

1.4 These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They are generated by a computer system and do not require a physical or digital signature.

1.5 Order of precedence: a written agreement signed by both parties prevails over these Terms; these Terms prevail over the Refund & Cancellation Policy; and all of them prevail over any proposal, marketing material, FAQ, support reply or oral statement.

2. Definitions

In these Terms:

  • "Account" means your workspace on the Service, including every User, setting and item of data under it.
  • "Customer Content" means all data, messages, media, templates, contact lists, chatbot flows, imports and other material that you or your Users submit to or generate through the Service, including the personal data of your End Customers.
  • "End Customer" or "Recipient" means any person you message, or who messages you, through the Service.
  • "Fees" means the subscription and other charges published on our pricing page or quoted to you in writing.
  • "Meta" means Meta Platforms, Inc., Meta Platforms Ireland Limited, WhatsApp LLC and their affiliates.
  • "Meta Terms" means the WhatsApp Business Terms of Service, the Meta Terms for WhatsApp Business Platform, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, the Meta Platform Terms and every other Meta policy that applies to your use of the WhatsApp Business Platform, each as Meta updates it.
  • "Plan" means the subscription tier you choose, with the features, limits and billing period published for it.
  • "Tech Provider" means Gems Essence Infotech Pvt Ltd, our group company, which Meta has verified and approved to connect WhatsApp Business Accounts to the Service and which develops and maintains the Service on our instructions.
  • "User" means each individual you authorise to access your Account, in any role.
  • "WABA" means a WhatsApp Business Account registered with Meta and owned or controlled by you.

3. The Service, and what it is not

3.1 The Service is software. It lets you connect your own WABA and phone numbers to the WhatsApp Business Platform (Cloud API) through our Tech Provider, and then send and receive WhatsApp messages, manage message templates, run campaigns, build chatbots, operate a shared team inbox, manage contacts and segments, enable integrations, use our API and webhooks, and view reports.

3.2 We are not Meta or WhatsApp. We do not operate the WhatsApp network, do not carry messages on our own infrastructure beyond calling the Cloud API, and do not control whether, when or how Meta delivers a message.

3.3 We are not a Business Solution Provider, reseller or aggregator of WhatsApp messaging. We do not sell, meter, mark up or invoice WhatsApp conversation or message charges. Meta bills those directly to your WABA under the Meta Terms, and our Fees never include them.

3.4 We are not a telecom operator, a content provider, a marketing agency or a legal adviser. We do not write your messages or templates, choose your Recipients or decide whether you may message them. Template suggestions, chatbot starters, default keywords and automated replies are tools that you configure, approve and control.

3.5 We do not guarantee that any message will be delivered, read or acted upon, that Meta will approve any template, display name or business verification, or that any messaging limit, quality rating or tier will be granted or maintained.

4. Eligibility and business use only

4.1 The Service is offered only to businesses, professionals and organisations for their commercial purposes. You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872.

4.2 You confirm that you obtain the Service for a commercial purpose and not for personal use. The Service is therefore not supplied to you as a "consumer" within the meaning of the Consumer Protection Act, 2019, to the extent the law permits. We nevertheless publish the disclosures that the Consumer Protection (E-Commerce) Rules, 2020 require.

4.3 You must not use the Service if you or your business are barred from using WhatsApp or other Meta products, or operate in a business category that Meta prohibits on the WhatsApp Business Platform.

5. Accounts, verification, team members and API keys

5.1 Registration. You must give accurate, complete and current information and keep it updated. We may verify your email address and mobile number, including by a one-time code sent to you on WhatsApp, and may refuse, suspend or close an Account that we cannot verify.

5.2 Credentials. You are responsible for keeping passwords, Google sign-in, API keys, webhook secrets and WhatsApp access tokens confidential. Everything done through your Account or with your keys is treated as done by you. Tell us immediately at support@simpleops.co.in if you suspect unauthorised use.

5.3 Team members. An Account owner may invite Users and assign roles. You are responsible for every User's acts and omissions, for granting only appropriate access, and for removing Users who leave your business. We may act on instructions from any owner or administrator of your Account.

5.4 One business per Account. You may not share an Account or a WABA across unrelated businesses, let another business message through your Account, or resell or sub-license access.

5.5 You must not circumvent verification, rate limits, captcha, account lockouts or any other security control, and you must keep your contact details current so that we can reach you about your Account.

6. Your WhatsApp Business Account and Meta's terms

6.1 Your WABA, Meta's contract. You connect your own WABA and phone numbers to the Service through Meta's Embedded Signup. In that flow you accept the Meta Terms directly with Meta, and you must comply with them at all times. For anything concerning WhatsApp itself, the Meta Terms govern your relationship with Meta.

6.2 Authorisation. You authorise us and our Tech Provider to access and manage your WABA, phone numbers, templates, media and messages through Meta's APIs, and to receive webhooks from Meta on your behalf, for the purpose of providing the Service.

6.3 Meta's charges. Meta charges you for messages and conversations under its own rate card, through the payment method on your WABA. Rates, free allowances and categories are set and changed by Meta alone. For example, from 1 October 2026 Meta charges for service replies beyond a free monthly allowance per phone number. We have no control over, and no liability for, Meta's charges, invoices, taxes, late fees or payment-method requirements.

6.4 Meta's controls. Meta alone decides business verification, display-name and template approval, messaging limits, quality ratings, flags, restrictions, suspensions and bans. A WABA without a valid payment method may stop sending. We are not responsible for any Meta decision and cannot reverse it. We may help you file an appeal but do not guarantee any outcome.

6.5 Platform changes. Meta may change, deprecate or withdraw APIs and features at any time. We will make reasonable efforts to adapt the Service but are not liable for functionality lost because of Meta.

6.6 Backups. Meta states that it deletes WhatsApp Business Platform data when a WABA is terminated and provides no backups. You are solely responsible for keeping your own copies of templates, contacts and conversations, including by using the export tools in the Service.

6.7 Coexistence. If you use the same number in the WhatsApp Business App and in the Service, Meta's coexistence rules apply, and some messages sent from the phone app may not appear in the Service.

7. Plans, free trial, fees and payment

7.1 Plans. Plans and their features are described on our pricing page. We may change features, limits and Plan names for future billing periods. We will not remove a core feature of your Plan during a paid period without notice.

7.2 Free trial. Where we offer a free trial, it lasts 7 days, is limited to one trial per business, and needs no payment details. When the trial ends the Account is locked in read-only mode until a Plan is paid for. Nothing is charged automatically. We may change or withdraw trial offers at any time and may refuse a trial to anyone who has already had one or appears to be abusing trials.

7.3 Fees and taxes. Fees are quoted in Indian Rupees and are prepaid for the monthly or yearly billing period you select. Prices are exclusive of taxes. Where Goods and Services Tax applies, it is added at the prevailing rate and shown on the invoice. If you are registered under GST, you must give us a correct GSTIN and place of supply when we ask; we are not responsible for any input tax credit you lose because you did not.

7.4 Payment and renewal. You pay by the invoice or payment link we issue, using UPI, bank transfer, card or another method we accept. The renewal invoice or payment link is issued before the current period ends and is payable by the period end date. There is no grace period: if payment has not reached us by the end of the period, access is suspended until it does. If the amount remains unpaid for 30 days after the period ends, the subscription is treated as cancelled under Section 14.

7.5 Automatic payments. If we later offer automatic renewal through a payment mandate (card, UPI Autopay or similar), the amount, frequency and validity will be shown before you register the mandate, your bank or card issuer will notify you before each debit as the Reserve Bank of India's e-mandate framework requires, and you may cancel the mandate at any time. Cancelling a mandate does not cancel your subscription for a period already paid.

7.6 Your payment costs. You bear your own bank charges, payment-gateway failures and currency conversion. A payment counts as received only when cleared funds reach us.

7.7 Price changes. We may change Fees by giving at least 30 days' notice by email or in-app. New Fees apply from your next renewal. Renewing after the notice means you accept them.

7.8 No refunds. Fees are non-refundable except as expressly set out in the Refund & Cancellation Policy, which forms part of these Terms.

7.9 Other charges. Setup, onboarding, custom development, training and add-on charges that we quote are payable in advance and are non-refundable once work has started.

8. Acceptable use and messaging rules

8.1 Consent. You may message only people who have given you their number and have opted in to receive the kind of messages you send, with notices that comply with applicable law and the WhatsApp Business Messaging Policy. You must keep records that prove each opt-in and produce them to us or to Meta on request.

8.2 Opt-outs. You must honour every opt-out, "STOP" or similar request promptly and must not message a person who has opted out, except as the law allows. The opt-out tools in the Service help you do this; they do not transfer the duty to us.

8.3 Meta rules. You must comply with the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and the other Meta Terms, including the rules on template categories, the 24-hour customer-service window, and restricted or prohibited businesses, goods and services.

8.4 Prohibited content and conduct. You must not use the Service to send, store or promote:

  • unsolicited bulk, repetitive or misleading messages, or messages to purchased, rented or scraped contact lists;
  • content that is unlawful, defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, hateful, harassing, threatening, or that incites violence or any offence, or any other content described in Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021;
  • fraud, phishing, impersonation, deceptive claims, pyramid or multi-level marketing schemes, unregistered investment, lending or betting offers, or anything that misleads a Recipient about who you are or what you offer;
  • illegal drugs, weapons, tobacco, alcohol where restricted, adult content, counterfeit goods, real-money online games or gambling (prohibited under the Promotion and Regulation of Online Gaming Act, 2025), or any other goods or services prohibited by Indian law or by the WhatsApp Commerce Policy;
  • political or election messaging without the pre-certification that the Election Commission of India requires, or during a silence period it mandates;
  • health, financial, legal or educational claims that are false, unverified or prohibited by the laws and regulators that apply to you;
  • material that infringes any intellectual property, trade secret, publicity or privacy right;
  • anything that violates the law of India or of the country of any Recipient; or
  • messages sent for or on behalf of a third party as a reseller or agency, or by letting another business use your Account or WABA.

8.5 Technical misuse. You must not (a) probe, scan, overload or interfere with the Service or its security; (b) reverse engineer, decompile, copy or create derivative works of the Service; (c) scrape or harvest data except through our API within your own Account; (d) exceed rate limits or use the API in a way that degrades the Service; (e) introduce malware or harmful code; (f) use the Service to build or benchmark a competing product; or (g) remove or obscure our notices or branding where they are shown.

8.6 Compliance is yours. You are solely responsible for complying with every law that applies to your messaging and your business, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and its rules, telecom and unsolicited-communication regulations if and when they apply to WhatsApp, consumer protection and advertising law, sector-specific rules (for example those of SEBI, RBI, IRDAI, the drugs and cosmetics authorities and legal metrology), and the laws of any country whose residents you message.

8.7 Our rights. We have no obligation to review your content, but we may monitor usage patterns, templates, delivery metrics and complaints. Without liability to you, we may refuse, delay or remove content, cap volumes, pause campaigns, disable a chatbot, revoke API keys or suspend an Account immediately where we reasonably believe this Section has been breached, where Meta flags or restricts your WABA, where a Recipient or an authority complains, or where we must act to protect the Service, our Tech Provider status or other customers. We may report unlawful activity to Meta and to law-enforcement or regulatory authorities.

9. Your Content and your Customers' personal data

9.1 Ownership and licence. You keep all rights in your Customer Content. You grant us and our Tech Provider a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, process and create technical derivatives of Customer Content solely to provide, secure, support and improve the Service, to comply with law and as these Terms otherwise allow.

9.2 Roles. For the personal data of your End Customers and other Recipients, you are the Data Fiduciary (controller) and we are your Data Processor. We process that data only on your documented instructions, given through the Service and these Terms, and only to provide the Service. You alone decide what data to collect, whom to message and for what purpose.

9.3 Your warranties. You warrant that you have a lawful basis, and every consent and notice required by the Digital Personal Data Protection Act, 2023 and other applicable law, to collect, upload and process your End Customers' personal data through the Service and through Meta, and that your instructions will not cause us or our Tech Provider to breach any law or Meta Term.

9.4 Our commitments as Processor. We will: (a) process personal data only on your instructions and under these Terms; (b) keep it confidential and bind our staff and sub-processors to confidentiality; (c) maintain the reasonable security safeguards described in the Privacy Policy; (d) use only the sub-processors listed in the Privacy Policy, which you accept, and update that list when they change; (e) help you respond to End Customers' rights requests with the tools in the Service; (f) notify you without undue delay after becoming aware of a personal data breach affecting your Customer Content, with the information then available to us, so that you can meet your own notification duties; (g) after termination, keep Customer Content available for export for 30 days and then delete it within 90 days, except where law requires retention; and (h) on written request not more than once a year, provide information reasonably needed to demonstrate compliance with this Section, at your cost if it requires more than a few hours of work.

9.5 Lawful instructions. Your instructions must be lawful. If we believe an instruction breaches law or the Meta Terms, we may refuse it and will tell you why.

9.6 Usage data. We may collect and use aggregated or de-identified data about how the Service is used, such as volumes, feature usage and delivery rates, to operate, secure and improve the Service and to publish statistics, provided it never identifies you or any individual.

9.7 Artificial intelligence. We do not use Customer Content to train artificial-intelligence models. If we add features that rely on a third-party AI provider, we will disclose the provider and the data shared in the Privacy Policy before the feature processes your data.

10. Privacy

10.1 Our Privacy Policy explains what personal data we collect from you and your Users, why, who we share it with, how long we keep it and the rights you have. It forms part of these Terms.

10.2 You must give your Users and End Customers the notices required for us to process their data as described in the Privacy Policy, including that their messages are processed by us, by our Tech Provider and by Meta.

11. Integrations, API, webhooks and third-party services

11.1 Third-party services. The Service connects to services we do not control, including Meta, Google sign-in, Cloudflare, your own systems through our API and webhooks, and integrations you choose to enable (for example Simple Dairy, Pure Pani, Shopify or others we add). Each has its own terms and privacy practices. We are not responsible for them, and you use them at your own risk.

11.2 Integrations. Enabling an integration instructs us to exchange data with that service as the integration describes. You are responsible for your account with that service, for the data it sends us and for the messages it triggers.

11.3 API licence. Subject to your Plan, we grant you a revocable, non-exclusive, non-transferable licence to use our API and documentation to build integrations for your own business. You must keep API keys secret, respect rate limits, not redistribute data beyond your own systems, and update your integration when we change the API after notice. We may suspend keys that cause harm or breach these Terms.

11.4 Webhooks. Webhooks we send to your systems contain your data. You must secure your endpoints and verify our signatures. We are not responsible for anything that happens to data after it reaches your systems.

11.5 Delivery chain. Message delivery depends on Meta, telecom networks, internet providers and the Recipient's device, none of which we control.

12. Our intellectual property and your feedback

12.1 The Service, its software, website, designs, documentation, chatbot starters, template catalogues, trademarks (including MessageBhejo) and all improvements are owned by us or our licensors and protected by Indian and international intellectual-property law. You receive only the limited right to use the Service under these Terms; no other right or licence is granted, by implication or otherwise.

12.2 WhatsApp and Meta names and logos are trademarks of Meta Platforms, Inc. We are not affiliated with or endorsed by Meta, except that our group company Gems Essence Infotech Pvt Ltd is an approved Meta Tech Provider.

12.3 Feedback. Any suggestion, idea or feedback you give us may be used by us freely and without obligation, attribution or payment.

12.4 Publicity. You may not use our name or logo, or state that you are a customer, in a way that implies endorsement without our written consent. We may name you as a customer in our marketing unless you ask us not to in writing.

13. Availability, support, maintenance and changes

13.1 Availability. We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. No service-level commitment applies unless a signed agreement says so.

13.2 Maintenance. We may carry out planned maintenance, preferably outside Indian business hours and with notice where practical, and emergency maintenance at any time.

13.3 Support. We provide email and WhatsApp support in English and Hindi, Monday to Saturday, 10 AM to 7 PM IST, excluding public holidays, and try to respond within one business day. Support does not include training, data entry, template writing, Meta appeals or custom development, which we may quote separately.

13.4 Service credits. If the Service is unavailable for more than 72 consecutive hours solely because of a fault on our side (excluding Meta, your integrations, your network or devices, planned maintenance and events under Section 18), you may request, within 30 days of the outage, a credit that extends your current paid period by the length of the outage. This credit is your sole and exclusive remedy for unavailability.

13.5 Changes to the Service. We may add, change, suspend or remove features at any time. If a change materially reduces the core functionality of your paid Plan, we will tell you at least 15 days in advance where practical, and your remedy is to cancel under the Refund & Cancellation Policy.

13.6 Beta features. Features marked beta, preview, early access or similar are provided as-is, may change or be withdrawn without notice and may be excluded from support.

14. Suspension and termination

14.1 By you. You may cancel your subscription at any time from your Account settings or by emailing support@simpleops.co.in from the owner's address. Cancellation takes effect at the end of the current paid period. You keep access until then, and no refund of the unused period is due. There is no cancellation fee. Deleting your Account ends access immediately.

14.2 Suspension by us. We may suspend all or part of the Service immediately and without liability if (a) Fees are unpaid when due; (b) we reasonably believe you have breached Section 8 or 9 or the Meta Terms; (c) Meta restricts, flags or disables your WABA or asks us to act; (d) your use threatens the security, integrity or reputation of the Service, our Tech Provider status or other customers; (e) law, a court or an authority requires it; or (f) a chargeback or payment dispute is raised against a payment to us. We will tell you the reason where law and security allow, and lift the suspension once the cause is cured.

14.3 Termination by us. We may terminate these Terms and close your Account (a) for convenience on 30 days' notice, in which case we refund the unused part of any prepaid period pro rata as your sole remedy; or (b) immediately, without refund, for material or repeated breach, unlawful activity, fraud, non-payment for more than 30 days after a period ends, your insolvency, or if Meta withdraws access that we need in order to serve you.

14.4 Effect of termination. All licences end, you must stop using the Service and you must pay any outstanding Fees. For 30 days after the end date you may export your Customer Content with the tools we provide or by request. After that we delete it within 90 days, except data we must keep by law (invoices and tax records for 8 years, security logs for the period the law requires) and routine backups, which are purged on a rolling basis. We may delete immediately where termination is for unlawful activity or where Meta requires it.

14.5 Survival. Sections on fees owed, Customer Content and data roles, intellectual property, effect of termination, disclaimers, limitation of liability, indemnity, governing law and dispute resolution, and general provisions survive termination, together with any other term that by its nature should survive.

15. Disclaimers

15.1 The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.

15.2 We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure or error-free, that defects will be corrected, that any message will be delivered or read, or that using the Service will produce any sale, response, rating or other business result.

15.3 We give no warranty about Meta, WhatsApp, Google, Cloudflare, hosting or telecom providers, any integration or any other third party.

15.4 Nothing in the Service, our website or our support channels is legal, tax or compliance advice. Opt-in keywords, template categories, chatbot starters and default texts are aids only; you must have your own compliance verified.

15.5 Information we publish about Meta's rates, policies or processes is taken from public sources for your convenience and may be out of date. Meta's own documents prevail.

16. Limitation of liability

16.1 Excluded losses. To the fullest extent permitted by law, neither we, our Tech Provider, nor our respective directors, employees, agents or suppliers are liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, goodwill, data or anticipated savings, or for the cost of substitute services, however caused and under any theory of liability, even if we were advised of the possibility.

16.2 No liability for. We are not liable for (a) any act, omission, charge, decision or outage of Meta or WhatsApp, including suspension or banning of your WABA, template rejection, quality-rating or messaging-limit changes, delivery failures and pricing changes; (b) your or your Users' breach of these Terms, the Meta Terms or law; (c) your content, your consent practices or disputes with your End Customers; (d) unauthorised access caused by your failure to secure credentials; (e) third-party services and integrations; or (f) events described in Section 18.

16.3 Cap. Our total aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), statute or otherwise, will not exceed the Fees you actually paid us for the Service in the 3 months immediately before the event giving rise to the claim or, if you were on a free trial or had paid nothing, INR 1,000.

16.4 These limits reflect the agreed allocation of risk and the low price of the Service. They apply even if a remedy fails of its essential purpose, and do not exclude liability that cannot lawfully be excluded, such as liability for fraud or for death or personal injury caused by negligence.

17. Indemnity

17.1 You will defend, indemnify and hold harmless us, our Tech Provider and our respective directors, officers, employees and agents from and against all claims, demands, proceedings, losses, damages, penalties, fines (including those imposed by Meta or by any authority, such as the Data Protection Board of India), costs and expenses, including reasonable legal fees, arising out of or relating to: (a) your Customer Content or messages; (b) your or your Users' use of the Service in breach of these Terms, the Meta Terms or any law; (c) your failure to obtain consents from, or give notices to, End Customers, or any complaint by a Recipient; (d) the products, services, offers and promises you make through the Service; (e) your taxes; (f) your integrations and systems; or (g) any dispute between you and a User, End Customer, Meta or any other third party.

17.2 We will notify you of any such claim and let you control the defence, provided that you may not settle a claim in a way that admits fault on our part or binds us without our written consent. We will cooperate at your cost, and may take over the defence at your cost if you fail to act diligently.

18. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, flood, fire, epidemic, war, terrorism, riot, labour dispute, government action, internet or telecom failure, power failure, cyberattack, or failure, suspension or changes by Meta, Google, Cloudflare, our hosting provider or payment providers. Your payment obligations are not excused. If such an event continues for more than 30 days, either party may terminate on written notice.

19. Governing law and dispute resolution

19.1 Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of India, without regard to conflict-of-law rules.

19.2 Negotiation first. Before starting any proceeding, you must write to our Grievance Officer (Section 22). The parties will try in good faith to resolve the dispute within 30 days of that written notice.

19.3 Arbitration. A dispute not resolved by negotiation will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement or, failing agreement within 30 days, as the Act provides. The seat and venue of arbitration is Indore, Madhya Pradesh, India. Proceedings may be conducted in English and Hindi, and documents in either language are accepted. Hearings may be held by video conference. The award is final and binding. Each party bears its own costs unless the arbitrator decides otherwise.

19.4 Courts. Subject to the arbitration agreement above, the courts at Indore have exclusive jurisdiction, including for interim relief under Section 9 of the Act and for enforcement of the award. Either party may seek urgent injunctive relief in any competent court for infringement of intellectual property, unauthorised access or breach of confidentiality.

19.5 Nothing in this Section limits any right the law gives you to approach the Data Protection Board of India or another statutory authority.

20. Changes to these Terms

20.1 We may update these Terms. The current version, with its effective date, is always published at messagebhejo.com/terms. Material changes will be notified by email to the Account owner or in-app at least 15 days before they take effect, unless the change is required by law or by Meta, or is needed for security, in which case it may take effect immediately.

20.2 Continued use of the Service after the effective date is acceptance of the updated Terms. If you do not agree, cancel before that date; the previous Terms apply until your current paid period ends.

21. General provisions

21.1 Entire agreement. These Terms, the Privacy Policy, the Refund & Cancellation Policy and any signed order form are the entire agreement between us about the Service and replace all earlier discussions and representations.

21.2 Confidentiality. Each party will keep the other's non-public business, technical and pricing information confidential, use it only for these Terms and protect it with reasonable care, for three years after termination. This does not cover information that is public, independently developed, lawfully received from a third party, or that must be disclosed by law, in which case the disclosing party will give notice where legally allowed.

21.3 Assignment and subcontracting. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate, including our Tech Provider, or to a successor of our business, on notice to you, and may use subcontractors and sub-processors as described in the Privacy Policy while remaining responsible to you.

21.4 Notices. We may notify you by email to the owner's address on the Account, by in-app message or by WhatsApp to the verified number. You must notify us by email to support@simpleops.co.in, with a copy by post to our registered office for legal notices. Email notices are deemed received on the next business day.

21.5 Government and legal requests. We may disclose information and act as a court, law-enforcement or regulatory authority lawfully requires, and may be prohibited from telling you.

21.6 Relationship. The parties are independent contractors. Nothing creates an agency, partnership, joint venture or employment relationship. Except for the persons indemnified under Section 17, no third party has any right under these Terms.

21.7 Severability and waiver. If any provision is held invalid, it will be enforced to the maximum extent permitted and the rest remains in force. A failure to enforce a right is not a waiver of it.

21.8 Language. These Terms are written in English. Any translation is for convenience only; the English version governs.

21.9 Electronic communications. You agree to receive notices, invoices and other communications from us electronically, including by email, in-app and WhatsApp, and that they satisfy any legal requirement that a communication be in writing.

22. Grievance Officer and contact
